Author—Contributor agreement

This Agreement is entered into as of the date set forth below by and between {UMP Author name} (hereinafter referred to as the UMP Author), and {UMP Contributor name} (hereinafter referred to as the UMP Contributor).

Whereas, the UMP Author desires to include UMP Contributor’s work in the UMP product; and

Whereas, the UMP Contributor wishes to contribute his or her work in the UMP product; and

Whereas, the UMP Author and UMP Contributor desire to set forth in writing the terms and conditions for their Agreement and cooperation.

Now, therefore, in consideration of the foregoing premises and mutual benefit the parties hereto agree as follows:

  1. The UMP Contributor formally states hereby that UMP Contributor is the true and lawful owner of the {UMP Contributor’s work name} (hereinafter referred to as the UMP Contributor’s work) and is free to use and dispose of the UMP Contributor’s work at his own discretion as regards third parties’ copyrights, interests or other legal encumbrances.

  2. The UMP Contributor does hereby grant, free of charge, permission to the UMP Author to use non-exclusively the UMP Contributor’s work, to copy, modify and merge the UMP Contributor’s work without restriction and to make it available to third party recipients of the finished UMP products.

  3. Should the UMP Author distribute, sublicense, publish, display, publicly perform, or digitally perform and/or sell copies of the UMP product which includes the UMP Contributor’s work or any Derivative Products or Collective Products the UMP Author will include in all such copies or substantial portions of the UMP Product the UMP Contributor’s copyright notice and give the UMP Contributor credit commensurable with the value of the UMP Contributor’s work as incorporated in the UMP finished product.

    Such credit may be implemented in any reasonable manner; provided, however, that in the case of a Derivative Product or a Collective Product, at a minimum such credit will appear where any other comparable authorship credit appears and in a manner at least as prominent as such other comparable authorship credit.

  4. The UMP Contributor’s work is provided "as is", without warranty of any kind, express or implied, including but not limited to, the warranties of merchantability, fitness for a particular purpose and non—infringement. In no event shall the UMP Author be liable for any claim, damages or other liability, whether in action of contract, tort or otherwise, arising from, out of, or in connection with the UMP Contributor’s work, its use or other dealings related to the UMP Contributor’s work.

In witness whereof, the parties have signed this Agreement as of the date set forth below.
